Helping clients buy and sell real estate is at the heart of what we do.  

Whether it is a one-off sale by a family of a long held asset in a 1031 exchange or the purchase of a portfolio of 39 office properties by an institutional joint venture with a simultaneous flip of 20 of those properties to a separate investor group, we have the right people, from partners to associates to paralegals, to make sure a good and appropriate purchase and sale agreement is negotiated and that, assuming contingencies get waived, the closing comes together as quickly and efficiently as possible.  Our firm can handle volume and it can handle complexity in all real estate asset classes.  

Given that our firm represents a broad swath of real estate companies, developers, multifamily operators, homebuilders, private companies and high net worth individuals, we see a wide variety of properties being sold and purchased, and using a diverse range of purchase and sale agreements from short CBA forms to 75-page agreements with 30 plus exhibits.  In this area, we also encounter the full gamut of lawyers from chairs of real estate practice groups at prestigious national firms, with a coterie of associates in tow, to solo general practitioners based in a small town in Western Washington.  We can modulate from one type of opposing counsel to another quickly, and our abiding goal is to treat each opposing counsel with respect, courtesy and good cheer while advancing and protecting the interests of our buyer and seller clients.     

Part of the reason our firm can be efficient and nimble for our clients is that we bring to the table a deep bench of knowledgeable and motivated real estate paralegals with over 50 years of combined experience.  Our paralegals bring this knowledge, motivation and experience to bear on conducting title and survey reviews, drafting notices and simple amendments, checking settlement statements, preparing basic corporate authorizations, and pulling together and coordinating the execution and delivery of closing documents.  

With the help of this paralegal team, our firm as lead counsel worked with one Seattle-based real estate company to acquire and dispose of more than 3 billion dollars in real estate assets across the United States in the past 10 years. That same depth and capacity allowed another partner to close more than 40 transactions for miscellaneous clients in 2021. 

These purchase and sale transactions have included mixed-use multifamily-retail properties, build-to-suit office and industrial facilities, urban office and retail property assemblages, portfolio acquisitions, ground leases and leaseback structures, purchases of majority equity interests, and acquisitions out of multi-party workout situations.  Many of these transactions also bring into play complex capital stacks with joint venture partners, fund investors and lenders making acquisition, development, construction and mezzanine loans.
