Real Estate Purchases and Sales

Helping clients buy and sell land and buildings is a core part of our practice. As lead transactional counsel for a large developer and owner/manager, we have since 2007 handled complex acquisitions and dispositions of urban office, retail, and multi-family properties and development sites in Washington, Oregon, and Colorado.


Leases and Ground Leases

Our landlord clients include developers of urban office towers, retail centers, mixed-use projects, and suburban business parks, and institutional and individual owners of portfolios of single-tenant and multi-tenant properties. Our tenant clients include national financial institutions, health care providers, local and national retail tenants, and other users of office and industrial real estate.


Real Estate Joint Ventures and LLCs

Our real estate clients typically pursue their development or investment transactions through limited liability companies and other joint ventures, with an unlimited variety of structures and arrangements. We draft and negotiate LLC operating agreements and other documents for our clients' ventures with financial institutions, developers and builders, and investors of all kinds. 


Business Planning, Organization, and Financing

Our business transactions practice involves diverse general business representation for entrepreneurs and closely held businesses. Our clients' deals include start-ups, mergers and acquisitions, financing, employment, executive compensation, and other commercial transactions.


Construction Contracts, Architect Agreements, and Integrated Project Delivery

Our construction law practice is focused on the needs of owners and developers. We work with a diverse array of agreements with general and prime contractors, subcontractors, architects, and consultants, including AIA forms and customized agreements.


Real Estate Finance

We are borrower’s counsel for our developer and owner clients. We negotiate and close acquisition, A&D, construction, and permanent loans with banks, conduit lenders, life insurance companies, and other institutional and private lenders. Through our work in hundreds of financing transactions, we know how to protect our clients' interests and get through difficult and complicated loan closings.


Homebuilding

We have unparalleled experience and know-how in the Pacific Northwest with the legal aspects of homebuilding.  We have worked for many years with a regional public homebuilder in all phases of its operations, including land acquisition and financing, joint ventures with investors and other builders, and the drafting of forms of purchase and sale agreements for new homes.


Urban Mixed-Use Projects, Master Planned Communities, and Condominiums

Myriad legal issues converge in the representation of developers of urban mixed-use projects and master planned communities. Our broad range of capabilities in real estate transactions, and long experience with complex real estate development makes us well-suited to these challenging and complex projects. 


Wealth Transfer Planning

We provide a full range of estate planning and probate services, from the simplest to the most complex estates, from individuals, to business executives, to the owners of large companies and real estate projects.
